Please read these Terms of Service ("Terms", "Agreement") carefully before accessing or using the RetroArch platform, including all associated services, features, digital assets, and software (collectively, the "Platform"), operated by RetroArch ("we", "us", "our"). By creating an account, accessing the Platform, or clicking any "Sign In", "Create Account", or equivalent confirmation button, you acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety. If you do not agree with any provision herein, you must immediately cease use of the Platform.

1. Definitions

For the purposes of this Agreement, the following terms shall have the meanings ascribed to them below:

"Platform": The RetroArch website, web application, APIs, emulators, and all associated digital services accessible at retroarch.com.br and its subdomains.
"User / You": Any individual who creates an account, accesses, browses, or otherwise uses the Platform in any capacity.
"Account": The registered profile created upon successful email verification via one-time password (OTP), uniquely identified by the User's email address.
"$LORE Token": A Solana-based SPL utility token ("$LORE") distributed as an engagement reward for completing in-game achievements and daily challenges. $LORE is a utility token and does not constitute a security, equity interest, debt instrument, or any claim against the Platform or its operators.
"SOL": The native cryptocurrency of the Solana blockchain, used exclusively for the purchase of Lootboxes and other paid services on the Platform.
"Lootbox": A randomized digital reward mechanism purchasable with SOL, which grants the User a license to access one or more digital game titles on the Platform, subject to the Provably Fair system described herein.
"Cartridge / License": A unique digital license, identified by a serial number, granting the User the right to access and play a specific game title on the Platform. Licenses may be acquired via Lootbox, direct purchase, or physical NFC cartridge activation.
"NFC Cartridge": A physical product containing an NFC chip that, upon activation, associates a digital game license with the User's Account.
"Provably Fair System": A cryptographic mechanism using HMAC-SHA256 hashing with publicly disclosed server seeds and transaction-derived client seeds, enabling third-party verification of all Lootbox outcomes.
"Achievement": An in-game milestone tied to a specific game title, the completion of which awards XP and/or $LORE rewards to the User.
"Halving Event": A protocol-level event that reduces all $LORE reward rates by 50% upon a pre-defined cumulative emission threshold being reached, as configured in the Platform's economy settings.

2. Eligibility & Account Registration

2.1 Age Requirement

The Platform is intended solely for users who are 18 (eighteen) years of age or older, or the age of majority in their jurisdiction of residence, whichever is greater. By creating an Account, you represent and warrant that you meet this requirement. We reserve the right to terminate any Account found to be held by a minor without prior notice.

2.2 Geographic Restrictions

Use of the Platform, including the purchase of Lootboxes and receipt of $LORE rewards, may be prohibited or restricted in certain jurisdictions. You are solely responsible for determining whether your use of the Platform complies with the laws applicable in your jurisdiction. We expressly disclaim any liability arising from your use of the Platform in violation of local laws.

2.3 Account Security

Authentication is performed via a one-time password (OTP) delivered to your registered email address. You are solely responsible for maintaining control of your registered email account and for all activity conducted under your Account. You agree to notify us immediately upon becoming aware of any unauthorized use of your Account. We shall not be liable for any loss or damage arising from your failure to comply with this obligation.

2.4 One Account Per User

Each User may maintain only one (1) Account. Creating multiple Accounts for the purpose of circumventing restrictions, accumulating rewards, or any other reason is strictly prohibited and constitutes grounds for permanent Account termination.

3. Digital Game Licenses

3.1 Nature of License

Upon acquiring a Cartridge — whether via Lootbox, direct purchase, or NFC activation — you receive a limited, non-exclusive, non-transferable, revocable license to access and play the associated game title through the Platform only. You do not acquire ownership of any intellectual property, source code, ROM, game data, or any other underlying asset.

3.2 No Download Rights

Game titles are made available exclusively through the Platform's browser-based emulation environment. No game data is delivered to your device. You may not copy, distribute, reverse engineer, or otherwise exploit any game data made accessible through the Platform.

3.3 License Transferability

Digital licenses are bound to the Account of the User who acquired them and are non-transferable. Physical NFC cartridges may be resold as physical objects; however, the digital license associated with a previously registered cartridge is void upon re-registration and a new license will be issued to the new Account holder, subject to availability.

3.4 Third-Party Intellectual Property

The Platform provides access to classic video game titles. All trademarks, copyrights, and intellectual property rights pertaining to game titles belong to their respective rights holders. We claim no ownership over any game titles hosted on or accessible through the Platform. If you are a rights holder and believe your content is being used without authorization, please contact us at the email address specified in Section 12.

4. Lootbox Mechanism & Randomized Rewards

4.1 Nature of Lootbox Purchases

Lootbox purchases are final and non-refundable. By initiating a Lootbox transaction, you acknowledge that: (i) the outcome is determined by a cryptographically random process; (ii) you are not guaranteed to receive any specific game title or rarity tier; and (iii) the stated probability distributions are accurate to the best of our knowledge but are subject to change with prior notice.

4.2 Provably Fair Guarantee

All Lootbox outcomes are determined by the Provably Fair system. The server seed hash is published prior to each opening. After the transaction is confirmed on-chain, the client seed (derived from your transaction signature) is combined with the server seed via HMAC-SHA256 to produce the roll result. You may independently verify any past Lootbox outcome using the data available on the Platform's audit page. This system guarantees that the Platform cannot manipulate outcomes after a transaction has been initiated.

4.3 Anti-Duplication Guarantee

The Platform guarantees that no Lootbox will deliver a game title you already own. In the event that no eligible titles remain in the drawn rarity tier, the system will automatically escalate to the next available rarity. If no eligible titles remain in any tier, a random unowned title will be awarded. In the event that the User owns all titles in the eligible pool, no further Lootbox purchases will be accepted until new titles are added to the catalog.

4.4 On-Chain Payment Verification

All SOL payments are verified on the Solana blockchain prior to processing. A transaction is accepted only if: (i) the recipient matches our treasury wallet address; (ii) the value received is no less than 95% of the expected amount (a tolerance applied to account for price fluctuations between initiation and confirmation); and (iii) the transaction signature has not been previously used. Transactions failing these checks are rejected and no Lootbox is opened. We accept no liability for funds lost due to failed on-chain transactions caused by network congestion, wallet errors, or incorrect transaction construction.

4.5 No Gambling Classification

Lootboxes on the Platform deliver deterministic digital utility (game licenses) with no monetary redemption value. The Platform does not operate as a gambling service, and $LORE or game licenses obtained through Lootboxes cannot be directly exchanged for SOL, fiat currency, or any other monetary equivalent through the Platform.

5. $LORE Token — Utility, Rewards & Limitations

5.1 Utility Token Only

$LORE is a utility token designed exclusively for use within the Platform ecosystem. It does not represent any ownership interest, equity, debt, or profit-sharing right in the Platform or its operators. Holding $LORE does not entitle you to dividends, governance rights, or any other financial instrument.

5.2 Earning Mechanism

$LORE is earned exclusively by completing in-game achievements and daily challenges designated by the Platform. Rewards are accumulated in a ledger and disbursed on a weekly basis following manual review and approval by Platform administrators. The Platform reserves the right to withhold, reduce, or cancel any pending $LORE disbursement if suspicious activity, anti-cheat flag triggers, or Terms violations are detected.

5.3 Anti-Cheat & Weekly Cap

To protect the integrity of the reward system, a maximum weekly earning cap is applied per Account, calculated as: number_of_games × 10 achievements × base_reward. Any account exceeding this threshold is automatically flagged for manual review. Accounts found to have exploited technical vulnerabilities, bots, emulator memory manipulation, or any other method to obtain rewards fraudulently will be permanently banned and all pending $LORE balances forfeited.

5.4 Halving Events

The Platform operates a halving mechanism inspired by Bitcoin's emission schedule. Upon reaching pre-defined cumulative emission thresholds, all $LORE reward rates are reduced by 50%. Halving events are not grounds for refunds, compensation, or Account termination by the User. Historical rewards already disbursed are not affected by halving.

5.5 Token Value & Market Risk

The Platform does not guarantee any specific market value for $LORE. The token is listed on decentralized exchanges and its price is determined solely by market supply and demand. Past reward rates are not indicative of future value. You acknowledge and accept the full risk of market volatility associated with holding or transacting $LORE.

5.6 No Redemption Guarantee

The Platform does not guarantee a liquidity pool, buy-back program, or redemption mechanism at any specific price or time. While the Platform operates a buy-and-burn program using a portion of SOL revenue (in accordance with the published tokenomics), this program is subject to change and does not constitute a binding obligation to maintain any specific token price.

5.7 Tax Obligations

You are solely responsible for all tax obligations arising from the receipt, holding, trading, or use of $LORE in your jurisdiction of residence. The Platform does not provide tax advice and will not issue tax documentation unless required by applicable law.

6. NFT Mythic Console

6.1 Nature of the NFT

The Mythic Console NFT is a Solana-based non-fungible token that grants its holder a permanent, account-linked license to access all game titles currently in the Platform's catalog, as well as all future titles added during the validity period of the NFT program. The NFT is non-fungible, transferable on-chain, and its utility is bound to the Account to which it is linked.

6.2 Supply & Exclusivity

The Mythic Console NFT collection is limited to a fixed supply as disclosed in the NFT program documentation. The Platform reserves the right to close the minting window at any time after the disclosed conditions are met.

6.3 No Investment Representation

The Mythic Console NFT is a utility product. It does not represent an investment, security, or profit-sharing instrument of any kind. Any secondary market trading of the NFT is conducted at the User's own risk and the Platform is not responsible for NFT valuations on secondary markets.

7. Prohibited Conduct

You agree that you will not, under any circumstances:

✕Use bots, scripts, automated tools, or any software not provided by the Platform to interact with the emulation environment or APIs;
✕Manipulate emulator memory, RAM values, or any in-game state through external tools for the purpose of fraudulently triggering achievements or reward events;
✕Attempt to reverse-engineer, decompile, or extract ROM data, game assets, or API endpoints from the Platform;
✕Circumvent, disable, or interfere with any anti-cheat, rate-limiting, or security mechanism of the Platform;
✕Create multiple Accounts to artificially inflate reward earnings;
✕Engage in fraudulent transactions, including the use of stolen or unauthorized payment instruments;
✕Replay Solana transactions or exploit any vulnerability in the on-chain payment verification system;
✕Transmit any harmful, malicious, or unauthorized code to the Platform or its infrastructure;
✕Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international law or regulation;
✕Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Violation of any of the above may result in immediate Account suspension or permanent termination, forfeiture of all pending $LORE balances and licenses, and referral to appropriate law enforcement authorities where applicable.

8. Privacy & Data Collection

8.1 Data Collected

The Platform collects: your email address (for authentication); blockchain wallet addresses (voluntarily provided for $LORE disbursements); gameplay data including session duration, achievement progress, and scores; and on-chain transaction signatures associated with purchases.

8.2 Data Usage

Collected data is used exclusively to: operate the Platform; process reward disbursements; prevent fraud and enforce these Terms; and improve Platform features. We do not sell, license, or disclose your personal data to third parties for commercial purposes.

8.3 Blockchain Transparency

All on-chain transactions, including SOL payments and $LORE transfers, are recorded on the Solana public blockchain and are inherently publicly visible. You acknowledge that any wallet address you associate with your Account will be publicly linked to the corresponding on-chain activity.

8.4 Data Retention

We retain Account data for as long as your Account remains active. Upon Account deletion, personal data is purged within 30 (thirty) days, except where retention is required by applicable law or for fraud prevention purposes.

9. Disclaimers of Warranty

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT: (I) THE PLATFORM WILL BE AVAILABLE AT ALL TIMES OR FREE FROM ERRORS; (II) DEFECTS WILL BE CORRECTED; (III) THE PLATFORM IS FREE FROM HARMFUL COMPONENTS; OR (IV) ANY SPECIFIC $LORE REWARD RATE WILL BE MAINTAINED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF $LORE VALUE, OR LOSS OF GAME LICENSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Modifications to the Terms & Platform

11.1 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via a notice prominently displayed on the Platform at least 7 (seven) days before taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you must cease using the Platform and may request Account deletion.

11.2 Changes to the Platform

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time, including reward rates, Lootbox probabilities, and game catalog contents, with reasonable notice where practicable. Changes to $LORE reward rates due to Halving Events are governed by the published tokenomics schedule and do not require additional notice.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Brazil.

12.3 Dispute Resolution

Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 (thirty) days following written notice of the dispute.
